VeriTech POS Terms of Service
Effective Date: July 1, 2026
These Terms of Service (“Terms”) govern access to and use of VeriTech POS, including the VeriTech POS website, hosted point-of-sale platform, back-office software, AI-assisted inventory tools, vendor tools, desktop applications, mobile applications, APIs, support services, and related services (collectively, the “Service”).
The Service is provided by PNW Creative Labs, LLC (“Company,” “VeriTech,” “we,” “us,” or “our”). By creating an account, accessing the Service, downloading an application, clicking to accept these Terms, or using VeriTech POS, you agree to these Terms.
If you use the Service on behalf of a business, store, organization, or legal entity, you represent that you have authority to bind that entity. In that case, “you” and “your” refer to that entity and its authorized users.
1. The Service
VeriTech POS provides retail point-of-sale, inventory, catalog, reporting, vendor sourcing, AI-assisted inventory intake, document scanning, receipt, register, desktop app, and back-office tools.
VeriTech POS is designed to record retail transactions, inventory activity, store operations, and related business data. VeriTech does not process your customer card payments unless we expressly provide a separate payment-processing service in writing. For external card transactions, your card terminal, processor, bank, or payment provider is responsible for authorization, settlement, chargebacks, and funds movement.
2. Accounts and Authorized Users
You must provide accurate account, business, billing, and contact information. You are responsible for all activity under your account, including activity by owners, admins, managers, cashiers, inventory staff, contractors, vendors, or other users you invite.
You must maintain the confidentiality of passwords, PINs, devices, terminals, app sessions, and other credentials. You must promptly notify us if you believe an account, device, login, printer bridge, desktop app, or credential has been compromised.
We may suspend or restrict access if we believe account security, platform integrity, another customer, or the Service is at risk.
3. Merchant Responsibilities
You are responsible for your business operations and legal compliance. This includes, without limitation:
- product legality;
- age-restricted product compliance;
- tax configuration and tax reporting;
- licensing, permits, and regulated-product rules;
- customer disclosures;
- employment, payroll, and staff compliance;
- returns, refunds, chargebacks, and disputes;
- local, state, federal, and industry-specific laws;
- use of external payment processors, terminals, banks, and merchant accounts;
- accuracy of product, inventory, pricing, cost, vendor, and customer data entered into the Service.
VeriTech does not provide legal, tax, accounting, banking, compliance, payment-processing, tobacco, cannabis, vape, alcohol, controlled-substance, or regulatory advice. Any reports, AI outputs, summaries, dashboards, or calculations are operational tools and must be reviewed by you.
4. Age-Restricted and Regulated Products
VeriTech may provide tools for age-gated workflows, restricted-product flags, staff permissions, receipt records, and operational logging. These tools do not guarantee compliance.
You are solely responsible for confirming customer eligibility, age verification, product legality, shipping or pickup restrictions, employee training, recordkeeping, licensing, and applicable regulatory requirements.
You may not use the Service to facilitate illegal sales, unlicensed sales, prohibited online sales, trafficking, controlled-substance transactions, counterfeit goods, stolen goods, or other unlawful activity.
5. External Card Terminals and Payment Processors
VeriTech may allow you to record sales paid by cash, external card terminal, manual card reference, or other tender types. When you use an external terminal or external processor:
- the card transaction occurs outside VeriTech;
- VeriTech does not authorize the card;
- VeriTech does not settle card funds;
- VeriTech does not guarantee deposit timing;
- VeriTech does not control processor holds, account reviews, freezes, chargebacks, or underwriting decisions;
- you are responsible for entering or confirming any authorization code, transaction reference, processor batch, or reconciliation data.
VeriTech records sale and tender information for your business records. Your processor remains responsible for the payment transaction.
6. Hardware, Printers, Cash Drawers, and Desktop App
VeriTech may provide tools for receipt printers, cash drawers, local hardware, diagnostics, printer setup, and a desktop or mobile shell. You are responsible for selecting, configuring, securing, and maintaining compatible hardware, local networks, devices, drivers, operating systems, and internet access.
Hardware features may depend on device permissions, operating system updates, app version, local network configuration, printer firmware, and third-party device behavior. VeriTech is not responsible for failures caused by unsupported hardware, network instability, device settings, local malware, power loss, user misconfiguration, or third-party equipment.
7. AI Features and Human Review
VeriTech may provide AI-assisted features, including product drafting, description drafting, categorization, invoice or document scanning, inventory import, business summaries, document analysis, and assistant chat.
AI outputs may be incomplete, inaccurate, misread, outdated, or unsuitable for your use. You are responsible for reviewing and approving AI-generated outputs before using them for pricing, inventory, purchasing, compliance, reports, customer communication, billing, tax, or other business decisions.
Unless expressly stated otherwise, AI features are draft tools. They do not replace human review, professional judgment, regulatory review, tax advice, legal advice, or accounting advice.
You must not upload content to AI features unless you have the right to do so and unless the upload complies with your own privacy, employment, customer, vendor, and regulatory obligations.
8. Inventory, Catalog, Reports, and Business Data
VeriTech may calculate inventory, costs, margins, taxes, refunds, voids, sales, cash drawer totals, external-card totals, vendor sources, and other operational metrics based on the data entered into the Service.
You are responsible for verifying all data and correcting errors. Reports are provided for operational convenience and may not be suitable for tax filing, regulatory reporting, audited financial statements, or legal compliance without independent review.
9. Subscriptions, Billing, and Payment to VeriTech
Paid plans, subscriptions, vendor listings, add-ons, or other paid services may be billed through Stripe or another third-party billing provider. You authorize us and our billing providers to charge applicable fees, taxes, renewals, and other amounts for your selected plan.
Unless otherwise stated in writing:
- subscriptions renew automatically until cancelled;
- fees are non-refundable except where required by law;
- plan limits and features may vary by tier;
- failure to pay may result in suspension, downgrade, or termination;
- you are responsible for taxes, duties, and government charges related to your subscription.
VeriTech subscription billing is separate from your store’s customer payment processing.
10. Vendor Marketplace and Vendor Requests
VeriTech may provide vendor listing, sourcing, catalog-copy, request, inquiry, and vendor communication tools. VeriTech is not the seller, buyer, distributor, shipper, broker, payment processor, guarantor, or fulfillment provider for vendor products unless we expressly agree in writing.
Merchants and vendors are solely responsible for confirming product legality, licenses, availability, pricing, payment, fulfillment, delivery, returns, refunds, taxes, and regulatory compliance.
VeriTech may charge vendors for listings, visibility, or related marketplace services. Such charges are for platform access or listing services and do not make VeriTech the seller of listed products.
11. Acceptable Use
You may not:
- violate any law or regulation;
- use the Service for illegal, fraudulent, harmful, or deceptive activity;
- attempt unauthorized access to the Service, another tenant, another account, or another customer’s data;
- interfere with platform security, rate limits, authentication, app update systems, printer bridges, or hardware controls;
- reverse engineer, copy, scrape, or misuse the Service except as allowed by law;
- upload malware, harmful code, unlawful content, or content you do not have rights to use;
- misrepresent product legality, regulatory status, pricing, or vendor authority;
- use the Service to process, sell, or facilitate prohibited goods or services;
- bypass plan limits, billing controls, user permissions, or tenant isolation;
- use AI features to generate unlawful, deceptive, infringing, or harmful content.
We may investigate and suspend accounts that appear to violate these Terms.
12. Customer Data and Merchant Content
You retain ownership of business data, customer data, product data, transaction data, documents, images, and other content you submit to the Service (“Merchant Content”).
You grant VeriTech a limited license to host, process, transmit, display, analyze, back up, secure, and use Merchant Content as needed to provide, maintain, support, improve, and protect the Service.
You represent that you have all rights and permissions necessary to submit Merchant Content to the Service and to allow VeriTech and its service providers to process it.
13. Confidentiality
Non-public business, technical, pricing, security, product, or operational information disclosed through the Service may be confidential. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Service, except as required by law or authorized in writing.
14. Intellectual Property
VeriTech, the Service, software, apps, designs, interfaces, workflows, documentation, logos, trademarks, source code, compiled code, databases, templates, AI prompts, and related technology are owned by VeriTech or its licensors.
Except for the rights expressly granted in these Terms or an applicable EULA, no rights are transferred to you. You may not copy, modify, distribute, sublicense, sell, or create derivative works from the Service except as permitted by law or expressly authorized by us.
Feedback, suggestions, or ideas you provide may be used by VeriTech without restriction or compensation.
15. Third-Party Services
The Service may integrate with or depend on third-party services, including payment providers, hosting providers, storage providers, email providers, AI providers, analytics providers, app update providers, hardware vendors, operating systems, app stores, and vendor websites.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, outages, pricing, data practices, underwriting, payment decisions, device compatibility, or external websites.
16. Service Availability and Changes
We may modify, suspend, discontinue, update, or limit the Service at any time. We may release beta, preview, experimental, or early-access features that may be changed or removed.
We will use commercially reasonable efforts to maintain the Service, but we do not guarantee uninterrupted access, error-free operation, hardware compatibility, or continuous availability.
17. Security
We use reasonable administrative, technical, and organizational measures designed to protect the Service. You are responsible for securing your own accounts, devices, networks, operating systems, printers, cash drawers, terminals, passwords, staff access, and local environments.
No system is perfectly secure. You must promptly notify us of suspected unauthorized access or vulnerabilities.
18. Termination
You may stop using the Service or cancel your subscription according to your plan terms. We may suspend or terminate access if:
- you violate these Terms;
- payment fails;
- your use creates security, legal, operational, or reputational risk;
- required by law;
- continued service is impractical or unsafe.
Upon termination, your right to access the Service ends. We may retain or delete data according to our Privacy Policy, backup practices, legal obligations, and data retention procedures.
19. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, HARDWARE COMPATIBILITY, AND ERROR-FREE OPERATION.
VERITECH DOES NOT WARRANT THAT THE SERVICE WILL PREVENT LOSSES, FRAUD, THEFT, COMPLIANCE VIOLATIONS, TAX ERRORS, PRICING ERRORS, INVENTORY ERRORS, PAYMENT PROCESSOR HOLDS, CHARGEBACKS, HARDWARE FAILURES, OR BUSINESS INTERRUPTION.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, HARDWARE FAILURE, PAYMENT PROCESSOR ACTIONS, REGULATORY PENALTIES, OR COST OF SUBSTITUTE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VERITECH FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
21. Indemnification
You will defend, indemnify, and hold harmless VeriTech, its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from:
- your business operations;
- your products or services;
- your violation of law;
- your use of the Service;
- your Merchant Content;
- your customer or vendor disputes;
- your tax, regulatory, licensing, age-restriction, or payment obligations;
- your hardware, terminal, printer, cash drawer, network, or device configuration;
- your breach of these Terms.
22. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Sheridan County, Wyoming, except where applicable law requires another venue.
23. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on our website or made available through the Service. The effective date will indicate the latest version. Continued use of the Service after updates means you accept the revised Terms.
