VeriTech POS Desktop and Mobile App End User License Agreement
Effective Date: July 1, 2026
This End User License Agreement (“EULA”) governs your download, installation, access, and use of the VeriTech POS desktop application, iOS application, mobile application, updater, hardware bridge, printer tools, diagnostics tools, and related native software components (collectively, the “App”).
The App is provided by PNW Creative Labs, LLC (“VeriTech,” “Company,” “we,” “us,” or “our”). By downloading, installing, opening, or using the App, you agree to this EULA.
Your use of the hosted VeriTech POS platform, website, back office, POS workspace, subscription, and related services is also governed by the VeriTech POS Terms of Service and Privacy Policy.
1. License
Subject to this EULA and the Terms of Service, VeriTech grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the App on devices you own or control solely for your authorized business use with VeriTech POS.
The App is licensed, not sold. VeriTech and its licensors retain all rights not expressly granted.
2. Business Use
The App is intended for authorized merchants, staff users, and business users of VeriTech POS. You may use the App only for lawful business purposes and only in connection with an authorized VeriTech POS account.
You are responsible for all users, employees, contractors, cashiers, managers, owners, and others who access the App through your devices or accounts.
3. Hosted Service
The App loads and interacts with the hosted VeriTech POS service. The point-of-sale interface, back-office tools, AI inventory tools, reports, vendor tools, and other hosted features may update independently from the App version.
The App version may refer only to the native shell, updater, diagnostics, hardware bridge, printer tools, menus, or other local components.
4. Updates and Auto-Updates
The App may check for updates, download updates, and install updates automatically or after restart, depending on version, platform, settings, and operating system.
You agree that VeriTech may provide patches, updates, security fixes, feature updates, configuration changes, and compatibility updates. Some updates may be required for security, compatibility, hardware, or continued access.
Failure to update may limit functionality or require manual reinstall.
5. Hardware, Printers, Cash Drawers, and Local Devices
The App may provide tools for receipt printers, cash drawers, local device diagnostics, printer configuration, print testing, and related hardware workflows.
You are responsible for selecting, configuring, securing, and maintaining compatible hardware, local networks, operating systems, drivers, printers, cash drawers, terminals, and device permissions.
VeriTech does not guarantee that any specific printer, drawer, scanner, terminal, operating system version, device, or network setup will work with the App.
You must not configure printers, cash drawers, or local devices in a way that violates privacy, security, workplace, customer, or regulatory obligations.
6. Local Security and Device Responsibility
You are responsible for securing devices running the App. This includes:
- operating system updates;
- device passwords;
- local user permissions;
- malware protection;
- physical access to POS stations;
- printer and cash drawer access;
- network security;
- staff access;
- app sessions;
- account credentials.
If a device is lost, stolen, compromised, or accessed by unauthorized users, you must take appropriate action, including signing out sessions, rotating credentials, and notifying VeriTech if platform access may be affected.
7. App Diagnostics and Logs
The App may collect or store diagnostic information, including app version, update status, connected URL, tenant or workspace identifier, printer status, printer configuration, error logs, update logs, crash information, and support diagnostics.
Depending on configuration, local logs, mock printing, or test printing may include receipt, transaction, printer, or hardware information. You are responsible for controlling access to devices and logs.
Diagnostics are used to operate, support, secure, troubleshoot, and improve the App and Service.
8. Restrictions
You may not:
- copy, modify, distribute, sell, rent, lease, sublicense, or transfer the App except as permitted by law;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where such restriction is prohibited by law;
- bypass app security, update systems, origin protections, hardware controls, authentication, or tenant boundaries;
- use the App to access unauthorized websites, services, printers, devices, tenants, accounts, or data;
- use the App to install malware, intercept data, exfiltrate receipts, redirect printer output, or misuse hardware;
- remove or alter proprietary notices;
- use the App for unlawful, fraudulent, harmful, or prohibited activity;
- use the App in a way that violates the Terms of Service.
9. External Services and Links
The App may open or interact with VeriTech services, support pages, update servers, app stores, operating system services, hardware services, or external links.
Third-party services and websites are governed by their own terms and privacy policies. VeriTech is not responsible for third-party services, websites, devices, operating systems, processors, terminals, drivers, or hardware vendors.
10. Payment Processing
The App may allow you to record cash, external terminal, manual card reference, or other tender types in VeriTech POS.
Unless VeriTech separately agrees in writing to provide payment-processing services, the App does not process merchant customer card payments. Your external terminal, card processor, merchant bank, or payment provider is responsible for authorization, settlement, chargebacks, disputes, underwriting, account holds, and deposit timing.
11. Ownership
The App, software, user interface, design, source code, object code, workflows, documentation, trademarks, service names, logos, and related intellectual property are owned by VeriTech or its licensors.
This EULA does not transfer ownership of the App or any VeriTech intellectual property.
12. Open Source Components
The App may include third-party or open-source software components. Such components may be governed by separate licenses. To the extent required, VeriTech will provide applicable notices or license information.
13. Termination
This EULA remains effective until terminated. You may terminate it by uninstalling the App and ceasing use.
VeriTech may terminate or suspend your license if you violate this EULA, violate the Terms of Service, create security or operational risk, fail to maintain an authorized account, or if required by law.
Upon termination, you must stop using and uninstall the App.
14. No Warranty
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, HARDWARE COMPATIBILITY, AND ERROR-FREE OPERATION.
VERITECH DOES NOT WARRANT THAT THE APP WILL OPERATE WITHOUT INTERRUPTION, WORK WITH EVERY DEVICE, PREVENT DATA LOSS, PREVENT HARDWARE FAILURE, PREVENT PAYMENT ERRORS, OR SATISFY ANY PARTICULAR LEGAL OR BUSINESS REQUIREMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, HARDWARE FAILURE, PRINTER FAILURE, CASH DRAWER FAILURE, PAYMENT PROCESSOR ACTIONS, OR COST OF SUBSTITUTE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITECH’S TOTAL LIABILITY FOR CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VERITECH FOR THE APP OR RELATED SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
16. Export Compliance
You may not use, export, re-export, or transfer the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent that you are not located in a country or on a list where such use is prohibited by applicable law.
You may not use the App for any purpose prohibited by law, including development, design, manufacture, or production of nuclear, missile, chemical, biological, or other weapons.
17. U.S. Government Users
The App and documentation are commercial computer software and commercial computer software documentation. U.S. Government end users acquire only those rights granted to other users under this EULA.
18. Apple App Store Terms
If you obtain the App through the Apple App Store, the following additional terms apply:
- This EULA is between you and VeriTech, not Apple.
- Apple is not responsible for the App or its content.
- VeriTech is solely responsible for maintenance and support for the App, to the extent required by law.
- Apple has no obligation to provide maintenance or support services for the App.
- Apple is not responsible for any claims relating to the App, including product liability claims, consumer protection claims, intellectual property claims, or legal compliance claims.
- You must comply with applicable Apple App Store terms and usage rules.
- Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA and may enforce this EULA against you as a third-party beneficiary.
19. Governing Law
This EULA is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Sheridan County, Wyoming, except where applicable law requires another venue.
20. Changes to This EULA
VeriTech may update this EULA from time to time. Updated terms may be posted on our website, included in the App, or made available through the Service. Continued use of the App after an update means you accept the updated EULA.
